Coreweave plans to issue $3 billion in convertible senior notes, pre-market gains narrow to 3%.

BlockBeats news, September 17 — U.S. AI cloud infrastructure provider Coreweave (CRWV.O) announced plans to conduct a private placement of convertible senior notes with an aggregate principal amount of $3 billion, maturing on April 1, 2033; it also granted the initial purchasers an over-allotment option to purchase up to an additional $500 million in notes within 13 days after the initial issuance date. The notes are fully and unconditionally guaranteed on a joint and several basis by the company's wholly owned subsidiaries, constitute senior unsecured debt, with interest payable semi-annually in cash; holders may convert under certain conditions, and the company may elect to settle conversions in cash, Class A common stock, or a combination of both. The coupon rate and initial conversion price will be determined at pricing. Part of the proceeds will be used to purchase capped calls to hedge equity dilution from conversion, with the remainder for general corporate purposes; if the over-allotment option is exercised, the additional proceeds will similarly be partly used to add to such option transactions, with the rest for company operating capital.


According to BIT (bit.com) market data, U.S. stock Coreweave (CRWV.O) pre-market gains narrowed to 3%.
