The reason given by the three parties in the joint statement was "the current market environment, as well as changes in business and stakeholder priorities," officially ending all previous work on the merger and digital asset treasury structure.
This transaction was announced in August 2025, at the peak of the "Digital Asset Treasury" (DAT) craze. The play at that time was pioneered by the Bitcoin Treasury company Strategy: a public company continuously buys a certain token through financing, turning its own stock into a "proxy target" for that token, and the "backing purchase by a large company" itself is seen as a bullish sign for the token.
Under the original plan, the three parties planned to merge through a SPAC to establish the Trump Media Group CRO Strategy, positioned as the first and largest publicly traded CRO treasury company. The funding structure included $10 billion in CRO, $2 billion in cash, $2.2 billion in mandatory convertible notes, plus a $50 billion equity line of credit provided by a Yorkville affiliate, totaling $64.2 billion. If successful, it would have become the world's largest public CRO holding entity, marketed as a "massive vote of confidence" in the token.
A year later, looking back, this vote of confidence was not fulfilled.
The high-profile nature of this transaction is evident in the details. In preparation for the merger, Yorkville's stock ticker symbol was changed in advance from YORK to MCGA, clearly echoing Trump's iconic slogan MAGA, widely interpreted in the community as "Make CRO Great Again." Changing the ticker symbol before the deal was finalized turned out to be a premature move.
Even more awkward is the initial commitment. Crypto.com CEO Kris Marszalek had previously stated publicly that the fintech company would become the world's largest CRO holder, with a market cap potentially surpassing that of CRO itself, and would continue to buy indefinitely. Today, all those expectations have fallen through. Regarding the termination decision, Marszalek's statement boiled down to just one sentence: "Continuing with the transaction in the current market environment is not reasonable."
Also cut off on the same day were two partnerships. Crypto.com will no longer provide services for the ETF product in the Yorkville America plan, with the latter stating that its existing and future ETF business remains unaffected. Additionally, according to Axios, Trump Media has decided to abandon the direct integration of the prediction market into Truth Social as planned (known as Truth Predict announced in October 2025) and instead downgrade to redirect users to Crypto.com's prediction market product.
Interim CEO of Trump Media Kevin McGurn explained the reasons to Axios: the digital asset fintech race has become saturated, and the significance of pledging these assets to Crypto.com has diminished; the decision is being driven by the competitive landscape rather than regulatory concerns. He is now refocusing the company on media and data-licensing business. It is worth noting that Trump Media has not completely withdrawn from crypto: it remains the 14th largest publicly traded company Bitcoin holder, with over $600 million in BTC, and recently transferred 2628 BTC to Crypto.com (stated by the company to be a transfer rather than a sale).
Following the announcement, CRO dropped below $0.05, hitting a low of around $0.047, the first time since October 2023. Market data shows that CRO's price has dropped by nearly 40% this year, around 70% in the past year, and approximately 95% from its historical high of about $0.89 in November 2021, currently with a market cap of around $2.2 billion.
This set of numbers reveals one thing: the Treasury narrative has indeed brought a pulse-quickening "confidence premium" to CRO, but the premium requires buyers to continuously pour in real money to sustain it. Once the buyers disappear, so does the premium.
On Reddit's r/CryptoCurrency, the post that sparked this news discussion raised a more pointed question: Is this kind of DAT Treasury play essentially just a mechanism to create artificial demand, pump up the coin price, with no real-world utility behind it? Every time such a transaction falls through, the underlying token experiences a cliff-like drop because the entire investment thesis was based on "there will be a corporate buyer who will purchase and hold," rather than the token itself having utility or adoption.
This skepticism is not isolated. Just last week, the largest Bitcoin Treasury company, Strategy, was revealed to have sold Bitcoin multiple times this year, loosening its "never sell" narrative. From Strategy to MCGA, the Treasury frenzy of 2025 where "public companies buying Bitcoin is always a positive catalyst" is now entering a period of decline.
For CRO holders, there is a more immediate concern. Crypto.com recently lowered the benefits for credit card users (Ruby Steel Card cashback reduced from 2% to 1.5%, and the unlimited 4% cashback on the Obsidian Card was removed), and several executives have resigned. The failed Treasury plan, shrinking benefits, executive departures all combined, the market now needs to reassess not just a single transaction but the fundamentals of the entire exchange platform.
