According to Bloomberg citing ICE Data Services, Nvidia's 5-year credit default swap (CDS) cost reached a high of around 0.82% during midday trading on July 27th, marking a one-day increase of about 14 basis points, the contract's largest single-day jump since active trading in November 2025.


CDS can be understood as "default insurance" for company debt. A price increase does not mean the market believes Nvidia will default imminently, but it signifies that credit investors are demanding higher risk compensation. For a company that was just upgraded to AA by S&P Global in June, with strong cash flow, the absolute level is not high, but the signal is worth noting.


Along the same line, Oracle has been an earlier reference point in the credit market to observe AI infrastructure financing pressure. According to Bloomberg citing ICE Data Services, Oracle's 5-year CDS was around 1.25%, significantly higher than Nvidia's. While the two companies have different ratings, balance sheets, and business models, they both point to the same issue: as AI data center orders grow, the credit market is increasingly concerned about who bears the risk of constructing and leasing this capacity.


What triggered this reassessment for Nvidia were two pieces of AI infrastructure news. One was that Nvidia is reportedly in discussions with OpenAI and SoftBank-related projects for a potential $250 billion financing guarantee. The other was the announcement by the SK Group and Nvidia of an AI plan and collaboration exceeding $500 billion.


Equity investors are quick to see demand extension. The credit market is the first to ask a different question: If customer financing lags, who will provide credit for this round of AI infrastructure expansion?


The Credit Market is Stress Testing Risk Distribution


Over the past two years, the market has been accustomed to explaining Nvidia with demand. Cloud providers, AI companies, sovereign wealth funds are all buying GPUs, supply is tight, margins are high, cash flow is strong. In this framework, the larger the customer's capital expenditure, the higher Nvidia's order visibility.


However, as AI data centers scale up, the question will shift from "Is there demand" to "Who can secure financing for power, land, servers, and chips first." If end-user cash flow has not materialized yet, suppliers assisting customers in financing could become a way to accelerate orders.


The reference significance of Oracle's CDS level is also here. It is not a GPU supplier but a cloud infrastructure and database company. However, market attention to its AI cloud expansion, data center construction, and customer concentration in recent years has been reflected in credit prices. Oracle's 5-year CDS is around 1.25%, implying that credit investors' risk premium requirement for this type of AI infrastructure exposure is higher than Nvidia's current level.


This does not mean that Oracle or Nvidia have immediate default risk. CDS trading reflects marginal risk reassessment. For Oracle, the market is concerned about the pressure of cloud infrastructure expansion on liabilities, capital expenditure, and cash flow; for Nvidia, the market is concerned about whether the originally light-asset, high-cash-flow chip supplier will partially bear customer-side financing risk due to guarantees or cooperative arrangements.


Credit investors are not looking at a growth story but rather at the repayment hierarchy in extreme scenarios. Potential guarantees, lease support, repurchase commitments, or other off-balance-sheet arrangements may not enter debt items in the short term but could convert into real obligations when project cash flows are insufficient.


Therefore, the spike in CDS trading this time is not about "Nvidia default probability soaring." More accurately, the market is starting to reprice some orders that were originally seen as high-quality demand into tail risk pricing.


Reference from Oracle: AI Cloud Orders also Have Credit Prices


Including Oracle in this discussion is not because it has the same obligations as Nvidia, but because it shows the market that AI infrastructure expansion is no longer just a revenue story in the equity market but also a balance sheet story in the credit market.


Oracle's core narrative is the growth in AI cloud infrastructure demand. Data center, compute leasing, cloud service contracts, and large customer demand will enhance revenue visibility; however, on the flip side, such expansion typically involves upfront construction, including data centers, power, servers, networking, and long-term procurement arrangements. There is a time lag between revenue realization and capital expenditure, and the credit market will price this time gap first.


Therefore, Oracle's 5-year CDS level of about 1.25% can serve as a reference point to observe the credit cost of AI infrastructure. It is higher than Nvidia's approximately 0.82%, reflecting not which company has a stronger business, but how the credit market prices differences in asset-liability structure, debt burden, and capital intensity.


This also explains why Nvidia's CDS, even though not high in absolute terms, would still attract attention with a single-day jump. Nvidia has been seen as in the closest "shovel seller" position in the AI cycle: upfront payment, high gross margin, strong cash flow, relatively low balance sheet pressure. But if an increasing number of AI infrastructure projects require suppliers, cloud providers, energy companies, and financial institutions to jointly design financing structures, Nvidia's credit risk boundary will be reassessed.


In other words, Oracle's CDS has already been telling the market: the growth of AI cloud infrastructure is not free. The spike in Nvidia's CDS is posing another question: should chip suppliers also bear some of the credit costs for customers' infrastructure expansion?


$250 billion Guarantee Remains a Negotiating Variable


The most easily misunderstood aspect is adding the $250 billion guarantee and the $500 billion collaboration plan together, then stating that Nvidia has taken on $750 billion in debt. The nature of these two matters is not the same.


According to media reports, Nvidia is discussing providing up to a $250 billion financing guarantee for OpenAI to lease SoftBank-related data centers. The project involves the Ohio Pike County Portsmouth Site with SB Energy, a SoftBank affiliate. The Department of Energy mentioned in its March announcement that it plans to build 10GW of new power generation to serve a 10GW data center.


This is still in the early stages of negotiation. The terms, trigger conditions, guarantee limits, and accounting treatment are not yet defined, and it cannot be stated that Nvidia has signed or taken on debt.


In plain terms, a guarantee means that if the lessee cannot pay in the future, the guarantor may have to assume some responsibility. It does not mean that $250 billion will be lent out today, but it will prompt investors to ask: Is Nvidia merely selling chips, or is it starting to use its credit to help customers buy chips?


This issue will impact the valuation approach. As long as Nvidia remains a high-margin chip supplier, the market will give it a "shovel seller" premium. If it starts taking on customer project financing risk, the quality of orders will need to be assessed based on terms rather than just scale.


SK Partnership Resembles More of an Industrial Expansion Framework


The SK aspect needs a closer look. The more publicly conservative statement is that the SK Group and Nvidia announced an AI plan and partnership exceeding $500 billion in scale. This includes SK Hynix's next-gen memory collaboration, SK Telecom's 2GW data center, and more AI infrastructure directions.


Such partnerships can strengthen Nvidia's position in the Korean AI infrastructure and memory supply chain. High-bandwidth memory is a key enabler for AI chip scaling, and SK Hynix is a core supplier. For equity investors, this represents a deepening of Nvidia's ecosystem ties.


However, this cannot be automatically interpreted as a formal procurement contract, nor can it be directly understood as Nvidia guaranteeing SK's $500 billion plan. Partnership plans, supply directions, data center builds, and financing responsibilities are commitments at different levels.


What the credit market needs to look at is the legal strength. What is merely a partnership framework, what will turn into procurement commitments, what will become financing guarantees, and what needs to be disclosed in financial reports as contingencies or liabilities. The larger the numbers, the more critical the terms.


Seller Financing Analogy Enters Pricing


Within this discussion, a frequently mentioned analogy is the seller financing in the 1990s telecom equipment cycle. Equipment vendors assisted operators in financing the purchase of their own products to sell more equipment. During the boom period, it seemed like a win-win, with faster customer deployments and increased vendor revenues.


The risk lies in that if customer business revenues lag behind expectations, the supplier will not only lose orders but may also bear financing losses. Revenue growth and credit risk are intertwined in the same chain.


Nvidia cannot be mechanically fit into this historical template. It is not a second-tier equipment vendor from that era; GPUs still hold a core bottleneck position in AI training and inference, with stronger bargaining power, cash flow, and ecosystem control. The current CDS absolute levels also remain within ranges understandable by investment-grade companies.


A similar situation applies to Oracle and cannot simply be mapped to the seller financing model. It is more like one of the enablers in AI cloud infrastructure expansion: it needs to first build and lock in compute power, then wait for customer demand to translate into sustained cash flows. The credit market assigns a higher CDS pricing to Oracle, essentially demanding it to pay a risk premium for its heavier infrastructure role.


But this analogy highlights a shift: as the industry moves from supply shortage to large-scale capital expenditure, investors should not only ask who can sell more chips, but also who is providing the credit for expansion.


Disclosure Terms Determine Valuation Anchor


For NVDA shareholders, this event is not yet a balance sheet crisis, but a change in valuation anchor. The market is transitioning from "how large are the orders" to "what conditions are needed to fulfill the orders."


Oracle's CDS price provides a reality check: when the AI infrastructure narrative is coupled with higher capital outlays, longer payback periods, and a more complex customer structure, the credit market demands compensation ahead of the equity narrative. While Nvidia currently boasts a stronger cash position and lower CDS absolute levels, the market is already testing whether it will shift from "selling chips" to "providing credit support for chip demand."


If subsequent disclosures reveal that the collateral size is limited, trigger conditions are strict, project cash flows are clear, and the SK partnership gradually translates into real orders, then this CDS reaction may just be an early pricing of opaque terms. The equity market may still interpret it as the cost of locking in demand.


Conversely, if similar arrangements persist, collateral sizes increase, project repayments rely on a more extended AI commercialization, and financial disclosures remain opaque, the market will continue to discount the "risk-free shovel seller" valuation assumption. At that point, Nvidia's issue would no longer be about demand existence but about how much credit support the demand needs to materialize.


The variables that can alter the assessment will hinge on specific terms: whether collateral is signed, if limits are set, when triggers occur, how disclosures are made, whether rating agencies reassess, and if the data centers coming online between 2027 and 2028 can generate sufficient cash flow. Once information is available, the market can determine if this CDS anomaly is a short-term noise or an early warning of the AI infrastructure financing cycle.
