Want to do Web3.0 VC? What do you need to know is fundamentally different from Web2.0 VC

Read this article in 11 Minutes
VCS in Web3.0 are completely different from VCS in Web2.0, and the stakeholders in Web3.0 are better than those in Web2.0.

Web3.0 的 VC 与 Web2.0 的 VC 完全不同,Web3.0 利益相关者也比 Web2.0 更好。Jack Dorsey(前推特 CEO)认为 VC 破坏了 Web3.0 的观点错了。

In Web2.0, users can't even vote with their wallets because they can only buy shares after the IPO at ridiculous valuations. Stakeholders in Web3.0 projects now have access to airdrops, can pledge, and can participate earlier in new projects. Web3.0 stakeholders (perhaps VCS or retail investors) fare much better than Web2.0 because:

1. Web3.0 has the incentive of early ownership, whereas Web2.0 can only buy shares after the IPO

2. Web 3.0 anyone can suggest changes in the governance forum, whereas Web2.0 VCS have special access to corporate boards

First, VC funds that obtain capital in the United States must register with the S.E.C. as investment advisers unless they meet certain private adviser or VC fund exemption criteria (Private: less than $150 million in assets; VC: more than 20% of the investment cannot be non-qualified assets, that is, not securities). Most crypto vc funds cannot meet these requirements to become exempt reporting Advisors (ERA) and must register with the government immediately. Keep in mind that if daOs want to use some of these exemptions, it doesn't help them get out of the rules (KYC or AML, GP and I-Advisor entity establishment, leverage restrictions, redemption, and so on). Moreover, since most people assume crypto assets will be classified as securities, the VC fund exemption standard may even be a bogus proposition. If the fund becomes big enough that the exemption is no longer valid, they must become a registered investment adviser, but a decentralized fund is largely unable to meet current legal restrictions, operational requirements and the amount of reporting. That's part of the data point for cost differences: A 2017 study by the National Venture Capital Association estimated annual compliance costs at about $60,000 for ERA and $330,000 for RIA (registered investment Advisers).

Second, in addition to the investment adviser exemption, funds are required to comply with investment company registration requirements or to file with the S.E.C. For the record. Most funds use sections 3(c)(1) or 3(c)(7) of the Investment Company Act. Funds that do not use passive capital typically rely on the 3(c)(1) exemption from the Investment Company Act, which means that no more than 100 people own shares in the fund (entities that invest and hold by multiple people will count towards this total). Funds can also try the 3(c)(7) exemption, but that is for "qualified purchasers" (you have to be an institutional investor and much richer than a qualified investor). Funds want to use these exemptions so that they can avoid constant disclosure, regulatory activity requirements, controls on ancillary trades and restrictions on trading activities, such as short selling and derivatives trading. But for investment DAOs, these exemptions don't work for the following reasons:

I think Jack is wrong about VCS, he is too focused on bitcoin and has no experience building DeFi and Web3.0 applications or working with VCS. Web3.0 VCS are just community members like everyone else, and Web3.0 funds are growing, and I expect most of them to be on the chain in the future with full community ownership and participation. While funds have not embraced becoming DAOs to date, they can make proactive changes internally. I'd love to sit down with Jack and talk about all of these topics, and I think it's going to be a very productive conversation.
