BlockBeats News, April 9th, according to Strategy (formerly MicroStrategy) in an 8-K form submitted to the U.S. Securities and Exchange Commission (SEC) on April 7th, if the price of Bitcoin continues to fall, Strategy may be forced to sell its Bitcoin holdings to meet debt obligations, breaking Michael Saylor's "never sell Bitcoin" commitment. In the 8-K form, Strategy mentioned, "Because Bitcoin constitutes the vast majority of our balance sheet assets, if we are unable to obtain equity or debt financing on favorable terms (or at all) and if needed, we may be forced to liquidate some or all of our Bitcoin to settle such obligations and we may not be able to consummate such sales at favorable prices or at all."
Since Trump's victory in November 2024, Strategy has acquired 275,965 BTC at an average price of $93,228 each ($25.73 billion), a portion of which is currently at a $4.6 billion unrealized loss. According to StrategyTracker data, Strategy currently holds 528,185 BTC with an average cost of $67,458 per Bitcoin valued at $40.119 billion.
BlockBeats Note: Strategy submitted an 8-K filing to the SEC (also known as a current report) to ensure market transparency and timely information disclosure for prompt reporting after events. Strategy has submitted a total of 25 8-K filings this year, with 8-K filings labeled "Results of Operations and Financial Condition" usually submitted at the beginning of each month. The "Risk Factors - Potential Sale of Bitcoin" warning was mentioned in an 8-K filing on January 6th, absent in the filings for February and March, and is now referenced again in the 8-K form after a three-month gap.
