Grayscale: SEC Innovation Exemption Will Drive Tokenized Stocks into the U.S. Regulated Financial System

BlockBeats news, September 24 — Grayscale research head Zach Pandl wrote that the U.S. SEC's recently issued "innovation exemption" order aims to bring on-chain trading of tokenized stocks into the regulated U.S. financial system and push the market away from its current model, dominated by offshore derivative-style "wrapped assets," toward tokenized securities that can provide holders with full voting rights and dividend entitlements.

The order temporarily relaxes two types of registration requirements: qualifying trading venues would not need to register as securities trading platforms, and qualifying liquidity providers would not need to register as securities dealers. This means that whitelisted wallet addresses could use stablecoins to trade tokenized stocks through restricted-access Uniswap liquidity pools.

However, the exemption comes with multiple conditions. The relevant transactions must occur on public blockchains, participants must be whitelisted, and trading venues must publicly disclose information before beginning operations. Rules regarding fraud, market manipulation, anti-money laundering, counter-terrorism financing, and OFAC sanctions screening still apply. In addition, the order is valid for five years and sets caps on the number of securities that can be listed and trading volume.

U.S. SEC Chairman Paul Atkins called the order a "temporary measure" and said long-term regulatory rules still need to be developed afterward. Grayscale believes the exemption will support the continued development of the tokenized stock market and validate that blockchain trading infrastructure can balance compliance requirements with investor protection; if the pilot succeeds, the scope of regulation could expand further and drive the U.S. Congress to introduce related bipartisan legislation.
