He questioned how Robinhood, as a U.S. company, could issue a product through an offshore operating entity in Jersey that represents AMC in some form but does not comply with U.S. securities laws.
Adam Aron stated that AMC spends millions of dollars annually to comply with U.S. securities laws and that Robinhood's establishment of a "synthetic equity market" may decouple stock token trading from a listed company's financing arrangements. Traditional stockholders have voting and other rights, but he believes that stock tokens do not represent actual equity, and investors cannot obtain corresponding shareholder rights.
Adam Aron demanded that Vlad Tenev and Robinhood proactively cease AMC stock token trading; otherwise, AMC has sought external securities lawyers to study whether action can be taken to force them to stop. He also stated that inquiries would be made to the U.S. Securities and Exchange Commission regarding Robinhood's practices.
Earlier reports indicated that this morning, the AMC CEO stated that Robinhood is advancing tokenization projects involving AMC and over 190 other companies' real-world assets and stock tokens. He mentioned that AMC is not associated with the project, does not endorse the practices, and will request external securities lawyers to review the matter immediately. Robinhood CEO Vlad Tenev responded, stating there is no need to worry.
