Bitfarms announces $375 million market-priced equity offering
BlockBeats news, on March 9, according to GlobeNewswire reports, Bitcoin mining company Bitfarms announced that it had signed a market-priced issuance agreement with H.C. Wainwright & Co., LLC (hereinafter referred to as the "Agent") on March 8, 2024. ("ATM Protocol"). Pursuant to the Agreement, the Company established a market-priced entitlement program (the "ATM Program").
Under the ATM Program, Bitfarms may, at its sole discretion, sell shares of the Company's common stock (the "Common Shares") through agents during the term of the ATM Agreement for an ultimate aggregate gross proceeds to the Company not to exceed $375 million. Sales of common shares through agents, if any, will be made through a "market priced" offering, including but not limited to direct sales on the Nasdaq Securities Trading Platform or other U.S. stock exchanges at the then current market price. The ATM Program does not offer or sell common shares on the Toronto Stock Exchange or any other exchange in Canada. The ATM Program may be terminated by either party at any time.
